Intellectual Property
- The startup keeps legal rights over its intellectual property (IP), such as patents, trademarks, copyrights.
Publicity and Marketing
- The startup grants to Yotta, a nonexclusive, worldwide, royalty-free license to use its name, website, general contact information, and any trademark, service mark, trade name, proprietary logo or insignia, URL, domain name, or other business identifier it provide to Yotta, along with any other content you provide in connection with the Program (collectively, “Startup Materials”) in Yotta Startup Program directories, customer lists, commercial presentations, flyers, brochures, newsletters, and similar online or hard-copy resources.
Legal Obligations
- Startup must comply with local and international laws and regulations.
- Startup must ensure secure data handling practices to protect its own as well as Yotta information. Startup must ensure compliance with data protection regulations such as GDPR and CCPA.
- Startup must ensure Implementation of robust cybersecurity measures to safeguard its data. Yotta may extend all support / services for this compliance at extra charges, which can also be adjusted against credits.

- Yotta shall conduct regular legal audits to ensure compliance with all the above.
Agreements & Contracts
- Startup shall sign standardized “Shambho Startup Program Agreement” (including Confidentiality clauses) with Yotta, outlining various terms and conditions for participation in the Program.
- Startup shall sign standardized “Master Services Agreement” with Yotta, outlining various terms and conditions for usage of the services.
- Startup shall sign standardized “Service Order Forms” with Yotta, from time to time outlining various services and their associated charges, as are used by the startup.
- The terms and conditions as mentioned in this “Shambo Startup Program Document” shall govern your participation in the Shambo Program (“Program”) and form an agreement between you (or the entity you represent) and Yotta, as shall be defined in detail in the “Shambho Startup Services Agreement,” “Master Services Agreement” and “Service Order Forms.”
- By participating in the Program, you confirm that you agree and are authorized to agree to these Terms.
Program Discontinuation
- Yotta may discontinue the Program at any time at any time by giving due notice to startups to either continue to avail services without credits / other program benefits or to migrate their applications / data.
Program Modifications
- Yotta reserves the right to amend any Terms in the Program at any time by posting the updated version of the Program on the Shambho website.
- The revised Terms will take effect immediately upon posting.
- By continuing to participate in the Program after any changes to these Terms are posted, you agree to be bound by the updated Terms.
Program Acceptance / Rejection / Deferment / Suspension
- While Yotta shall try its best to accommodate all eligible startups into the program, Yotta reserves the right to accept or decline startup applications based on its internal criteria and infrastructure capacity. Decisions to reject / defer applications are final and are made solely at Yotta’s discretion.
- Startups may be assigned entry to the program at any stage according to the qualification criteria mentioned in the program structure. Yotta has exclusive authority to make these assignments, and all such decisions are final.
- Startups cannot access credit benefits from earlier stages; for example, if a startup qualifies for entry into the program at Vriddhi Stage, it will not be eligible for any credit benefits associated with the Aarambha or Vikasa stages.
- Yotta reserves the right to suspend or terminate a startup’s access to the Program, or any part thereof, if it breaches any terms of the Program / Program agreements.
- Post Acceptance into the Program, Yotta may suspend or terminate a startup’s access to the program, if it determines that the startup’s use or access of the services under the program : (a) poses a security risk, (b) could subject Yotta or its affiliates or any third party to any liabilities or (c) is fraudulent (d) any other criteria as deem suitable by Yotta.
If a startup’s participation in the Program is terminated for any reason: (i) all licenses granted by Yotta to the startup related to its participation in the Program will be terminated, (ii) The startup must immediately cease using all Program benefits, and (iii) The startup must no longer identify itself or present itself as a Program participant.
